1. Service Description

Lithrim, Inc. (“Lithrim,” “we,” “us,” or “our”) provides an execution integrity platform that verifies what healthcare AI agents write to clinical systems. Our platform is a B2B service designed for companies deploying AI agents in healthcare — including clinical scribe companies, telehealth platforms, and health plans. Lithrim is not a direct patient-facing service.

2. Acceptance of Terms

By accessing or using the Lithrim platform, website, or API, you agree to be bound by these Terms of Service. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. Acceptable Use

You agree to:

  • Use the platform only for lawful purposes and in compliance with applicable healthcare regulations
  • Maintain the confidentiality of your API keys and account credentials
  • Not reverse engineer, decompile, or attempt to extract the source code of the platform
  • Not use the platform to process data in violation of HIPAA or other applicable privacy laws without appropriate agreements in place
  • Not interfere with or disrupt the integrity or performance of the platform

4. Data Rights and Responsibilities

You retain ownership of all data you submit to the platform. Lithrim processes submitted transcripts and artifacts solely to provide verification services. We do not use customer data to train models or for purposes unrelated to your use of the platform.

You are responsible for ensuring that data submitted to Lithrim complies with applicable laws, including de-identification requirements under HIPAA. If PHI transmission is necessary, a Business Associate Agreement (BAA) must be executed prior to data submission.

5. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime or service interruptions.

6. Limitation of Liability

Lithrim provides verification and analysis services as a supplemental quality layer. Our platform does not replace clinical judgment, regulatory compliance programs, or quality assurance processes.

To the maximum extent permitted by law, Lithrim shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the platform.

7. Intellectual Property

The Lithrim platform, including its software, algorithms, documentation, and branding, is owned by Lithrim, Inc. and protected by intellectual property laws. These terms do not grant you any rights to use Lithrim trademarks or branding without prior written consent.

8. Termination

Either party may terminate this agreement with 30 days written notice. We may suspend or terminate your access immediately if you violate these terms. Upon termination, your right to use the platform ceases and we will delete your data in accordance with our data retention policy, unless retention is required by law.

9. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of the platform after changes constitutes acceptance of the updated terms.

10. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
